
The Danish Shareholders’ Association has awarded ISS its 2002 Danish
Corporate Governance Prize. ISS was awarded gold because the Danish
Shareholders’ Association deems that ISS has Denmark’s best Corporate Governance
structure.
Candidates were assessed against 16 criteria.
- We are happy to be awarded the prize, which we see as recognition of the
efforts of our company and our Board to be at the forefront of developments
within Corporate Governance. In working with Corporate Governance, we have taken
the Nørby Committee’s report as our starting point and taken an international
approach, explains Arne Madsen, Chairman of the Board of ISS A/S.
To implement good Corporate Governance practices, ISS has merged share
classes, discontinued paying pensions to Board members and demonstrated great
openness by disclosing detailed information on management’s salaries and terms
of termination, corporate warrant programmes and other data in ISS’ latest
annual report.
- We are committed to good Corporate Governance and have communicated this
commitment to the various elements in our annual report. Shareholder information
is a special focal point for us as reflected in our extensive quarterly,
half-yearly and annual reports, on our website and at our investor days, Madsen
points out.
Claus W. Silfverberg, Director of the Danish Shareholders’ Association,
explains that ISS had higher-than-average scores on 15 out of 16 criteria.
- All other things being equal, a good management structure makes a company a
safer and more profitable investment for private shareholders. We believe ISS
boasts the number one management structure in Denmark. I would also like to
point to ISS’ very informative website, says Silfverberg.
